1. Acceptance of Terms
§01By accessing or using PoDi, submitting a request, registering as a vendor, sending an offer, accepting an offer, uploading content, or using any related service, you agree to these Terms of Use and the Privacy Policy. If you use PoDi for a company, you confirm that you are authorised to bind that company.
You must be at least 18 years old to use the platform. Vendors must be legally capable of selling auto parts and must comply with all registration, tax, consumer, product-safety, environmental, import/export, and invoicing obligations that apply to their business.
Processing of personal data is governed by our Privacy Policy, which sets out concrete retention periods per data category and the procedure for exercising GDPR rights (access, rectification, erasure, restriction, portability, objection, withdrawal of consent). PoDi is generally the controller for platform-operation data. Once an offer is accepted, the vendor independently becomes the controller for its direct customer communication, invoicing, and warranty handling.
2. What PoDi Does and Does Not Do
§02PoDi provides software that lets buyers describe a needed vehicle part and lets vendors respond with offers. PoDi may route requests, host offer information, send emails, provide tracking pages, generate offer PDFs, support reviews, and administer vendor subscriptions.
PoDi does not:
- Sell, resell, own, inspect, test, certify, store, ship, install, repair, or recall auto parts.
- Act as agent, broker, distributor, importer, dealer, employer, partner, or representative of any buyer or vendor.
- Set final part prices, delivery terms, warranties, return terms, invoices, or payment arrangements for parts.
- Guarantee that a part is available, lawful, original, compatible, safe, roadworthy, defect-free, or fit for a particular vehicle.
- Guarantee the truthfulness of user content, vendor offers, buyer descriptions, reviews, or uploaded photos.
3. Buyer Responsibilities
§03- Provide accurate request, vehicle, VIN, photo, contact, and delivery-related information.
- If you use registration-document scanning, send only the section with technical vehicle data and cover personal data that is not needed for the request.
- Keep tracking links and security tokens private.
- Verify the vendor, part identity, compatibility, condition, warranty, delivery terms, final price, taxes, and payment method before buying.
- Inspect parts upon receipt and before installation. Safety-critical parts should be checked and installed by qualified professionals.
- Keep records of communications, invoices, payments, delivery documents, and warranty terms.
- Do not submit unlawful, false, abusive, infringing, misleading, or unnecessary personal data.
4. Vendor Responsibilities
§04- Maintain accurate business name, contact details, tax/VAT details, notification email, supported vehicle preferences, and billing information.
- Respond only to requests you can evaluate professionally and lawfully.
- Provide accurate prices, availability, part condition, origin, compatibility information, warranty terms, delivery estimates, photos, taxes, fees, and any material limitations.
- Comply with consumer protection, distance-selling, product-safety, warranty, recall, environmental, waste, import/export, tax, accounting, invoicing, and data-protection obligations.
- Do not offer stolen, counterfeit, tampered, unsafe, recalled, illegally sourced, non-compliant, or misleadingly described parts.
- Do not manipulate mileage, emissions, safety systems, VIN identifiers, documents, reviews, or platform routing.
- Honour accepted offers unless a genuine error, legal issue, or safety issue makes completion impossible, and promptly inform the buyer.
5. Requests, Offers, Matching, and Ranking
§05Requests may be routed to vendors based on vehicle make, vendor-supported/excluded makes, vendor verification, active status, subscription status, request age, notification settings, and operational limits. Paid subscription plans may affect request access, monthly usage limits, or available features, but PoDi does not guarantee a fixed number of sales, requests, ranking positions, or buyer acceptances.
Offers are created by vendors. Buyers choose whether to accept, reject, ignore, or discuss an offer. Acceptance on PoDi records buyer interest and may share contact details, but the final sale contract for parts is between buyer and vendor unless the parties agree otherwise in writing.
6. Vendor Subscriptions and Billing
§06- Vendor plans, prices, offer limits, features, free trial offers, discounts, promo codes, and billing cycles are shown at registration, checkout, or the pricing page.
- Payments are processed by Stripe. By using paid vendor features, you authorise Stripe and PoDi to charge applicable subscription fees, taxes, and adjustments using the selected payment method.
- Subscriptions renew automatically for the selected billing cycle unless cancelled according to the platform flow before renewal.
- Offers included in a monthly subscription reset at the start of each billing period and do not roll over to the next month.
- One-time purchased extra offers are not subscriptions, do not renew automatically, and remain on the vendor balance until used, unless law, refund, abuse, or account termination requires otherwise.
- If payment fails, a subscription may be marked as payment failed, access may be limited, and outstanding amounts may remain due.
- Trial/free offer allowances may reset by billing period, may be limited by email/account/business, and may be changed or withdrawn to prevent abuse.
- Except where mandatory law requires otherwise or PoDi expressly agrees in writing, subscription fees already charged are non-refundable. If a refund is legally required, it may be processed through Stripe and may not include third-party fees beyond our control.
- Vendors are responsible for their own tax treatment, invoices to buyers, VAT/PDV obligations, bookkeeping, and reporting.
7. User Content and Licence
§07You are responsible for content you submit, including request descriptions, VIN information, photos, offers, messages, reviews, business details, and uploaded files. You confirm that you have the rights and legal basis to submit that content and that it does not violate law or third-party rights.
You grant PoDi a non-exclusive, worldwide, royalty-free licence to host, store, copy, process, display, transmit, format, translate, and use your content as needed to operate, secure, improve, document, and promote the platform, subject to the Privacy Policy.
8. Prohibited Use
§08- Illegal, fraudulent, deceptive, threatening, defamatory, discriminatory, harassing, or abusive activity.
- Uploading malware, scripts, corrupted files, or content intended to compromise systems.
- Scraping, reverse engineering, overloading, bypassing access controls, or interfering with the platform.
- Creating fake accounts, fake reviews, duplicate trial accounts, misleading offers, false requests, or artificially manipulating platform statistics.
- Using buyer or vendor data outside the purpose for which it was shared.
- Posting content that infringes intellectual property, privacy, publicity, trade-secret, or other rights.
- Using PoDi to facilitate sale of illegal, stolen, unsafe, counterfeit, tampered, or non-compliant parts.
9. Moderation, Suspension, and Termination
§09We may remove content, limit visibility, refuse routing, pause notifications, suspend or terminate accounts, reject registrations, block uploads, cancel trial allowances, or restrict access if we reasonably believe that there is fraud, abuse, security risk, legal risk, non-payment, inaccurate account information, prohibited content, or breach of these terms.
Where required by applicable platform-to-business or digital-services law, we will provide reasons and notice unless immediate action is needed for legal, fraud, security, technical, or user-safety reasons. Vendors may contact [email protected] to contest a restriction.
10. Complaints, Illegal Content, and Notices
§10Report scams, illegal content, unsafe parts, counterfeit goods, suspicious vendors, privacy issues, intellectual-property issues, or platform abuse to [email protected]. Include the tracking number, offer ID, vendor name, screenshots, and a clear explanation. We may request more information and may forward relevant details to the affected user, provider, authority, or adviser where appropriate.
11. Third-Party Services
§11The platform depends on third-party services such as Stripe, Resend, hosting, database, storage, and geolocation providers. Their own terms and privacy notices may apply. PoDi is not responsible for third-party service outages, payment network decisions, bank issues, email deliverability, or provider acts beyond our reasonable control.
12. No Professional Advice
§12Information on PoDi, including blog content, request suggestions, vehicle data, OCR/VIN extraction, part descriptions, prices, and vendor statements, is informational only. It is not legal, tax, mechanical, safety, insurance, or professional advice. Consult qualified professionals before relying on safety-critical, regulatory, tax, or installation decisions.
13. Disclaimers
§13To the maximum extent allowed by law, PoDi is provided "as is" and "as available". We do not guarantee uninterrupted access, error-free operation, continuous email delivery, vendor responses, request volume, sales outcomes, data availability, compatibility, accuracy, or that every vendor or buyer will behave lawfully.
Nothing in these terms limits mandatory statutory rights, liability for intent or gross negligence, liability for death or personal injury where it cannot be excluded, or any liability that applicable law does not allow us to exclude.
14. Limitation of Liability
§14To the maximum extent allowed by law, PoDi, its directors, employees, contractors, affiliates, and partners are not liable for indirect, incidental, special, punitive, exemplary, or consequential damages, lost profits, lost revenue, lost data, loss of goodwill, substitute goods, failed transactions, delivery problems, defective parts, installation issues, vehicle damage, buyer/vendor disputes, or third-party acts.
To the maximum extent allowed by law, PoDi aggregate liability for claims relating to the platform is limited to the greater of: (a) fees paid by the claimant to PoDi for the service giving rise to the claim during the 12 months before the event; or (b) EUR 100. This cap does not apply where prohibited by law.
15. Indemnity
§15You agree to indemnify and hold PoDi harmless from claims, losses, damages, fines, costs, and expenses arising from your content, offers, requests, sales, purchases, taxes, invoices, data misuse, illegal parts, breach of these terms, breach of law, or infringement of third-party rights. This applies only to the extent allowed by applicable law.
16. Changes to the Platform or Terms
§16We may update the platform, plans, features, pricing, policies, and these terms. Material changes will be posted on the platform or sent by email where appropriate. For vendor terms where legally required, we will provide advance notice on a durable medium unless changes are legally required, beneficial, urgent for security, or limited to new optional features.
17. Governing Law and Disputes
§17These terms are governed by the laws of the Republic of Croatia, without prejudice to mandatory consumer protections that may apply in your country of residence. Courts competent for Zagreb, Croatia will have jurisdiction unless mandatory law gives you another forum.
